Any amount unpaid on the due date will automatically accrue a late-payment penalty at least equal to one and a half times the legal interest rate, without prejudice to any other damages, interest, and costs.

If, during a previous order, the buyer failed to fulfill any of their obligations (e.g., non-payment or late payment), a refusal to sell may be opposed unless the buyer provides satisfactory guarantees, in which case cash or advance payment may be accepted. Furthermore, we reserve the right to terminate current contracts automatically without notice and to require cash payment before any shipment of goods in the above cases and in the event of cessation of payments, bankruptcy filing, court-ordered reorganization, temporary suspension of proceedings, or amicable or judicial liquidation.

Article 6 – Delivery

Our delivery times are provided for information only and shall in no case oblige us to pay compensatory damages. Failure to meet these times cannot justify refusal of delivery or non-payment of the invoice.

Article 7 – Transport

Deliveries are made at the buyer’s risk, regardless of the mode of transport and/or the terms of payment for transport. The customer must check the condition of the products upon delivery. In case of damage, they must note precise reservations on the delivery slip and repeat them to Patterns For You by registered letter within two days of delivery, in accordance with Article 105 of the Commercial Code. They must also inform Patterns For You – Info 34 by registered letter of any transport-related damage within eight days following delivery. No claim will be accepted if these formalities are not observed. Arranging, in the name and on behalf of the buyer, the transport of goods sold with a carrier of our choice does not alter these provisions.

Article 8 – Defective Deliveries

If the manufacturer’s liability for defectiveness is incurred, a defect affecting part of the delivery cannot justify rejection of the whole. Defective deliveries are also governed by the specific provisions below: In no case may Patterns For You – Info 34 be held liable for loss of time or for direct or indirect damages caused by defects. In the event of acknowledged defects making it impossible or difficult to run the products on the customer’s equipment, the printer is responsible only for replacing the defective prints, unless it prefers to waive a new execution.

Article 9 – Jurisdiction

These General Terms and Conditions of Sale and the contractual relationship resulting therefrom are governed by French law. Any dispute of any kind relating hereto shall be brought before the Commercial Court of Montpellier, whose jurisdiction is recognized as exclusive, even in the event of multiple defendants or third-party proceedings, notwithstanding any stipulation that may appear on the buyer’s commercial documents.

Additional conditions applicable to printing related to new digital technologies

Proofs: In the context of remote electronic order entry at the customer’s premises, validation of the on-screen preview by the user or the proof supervisor (“bon à tirer”) constitutes full acceptance and responsibility. Sending files to be imported constitutes approval to print (“bon à tirer”). The printer is not responsible for mistakes or errors that may have escaped the user or their supervisor. Given display/printing processes and the media used, a difference in the shade of the paper or the print cannot constitute grounds for refusal.

Intellectual property: Placing an order for the reproduction of any element protected by the Intellectual Property Code implies the customer’s assertion of a reproduction right in their favor. We accept no responsibility regarding the reproduction rights of originals entrusted to us. Customers are responsible for obtaining rights from the relevant authors before delivering the originals to us. Consequently, they hold us harmless against any claim that may be brought against us in this respect, of whatever nature. Under no circumstances may the customer claim ownership, unless expressly agreed by us when the order is placed.
